RICHARD B. PUMILIA -

Richard Pumilia is a partner of
Pumilia Patel & Adamec LLP. He is in charge of the firm’s
corporate and business transactional practice. He has
practiced corporate and business law since graduating from law
school in 1984, and has managed the firm’s business law practice
since 1993.
Mr. Pumilia’s practice involves
representing business clients in matters such as the purchase and
sale of assets; mergers and other acquisitions; capital-raising
transactions, such as private placements of securities and venture
capital investment; the formation of business entities, including
corporations, limited liability companies and partnerships; the
preparation and review of business contracts, including
distributorship agreements, employment agreements, license
agreements, operating agreements and shareholders’ agreements; and
day-to-day counseling on a variety of legal matters that affect
businesses.
Mr. Pumilia’s practice philosophy is
high-quality representation of business clients at a competitive
price; taking a business-oriented approach to solving legal
problems; and dealing with legal issues pro-actively so as to
minimize the occurrences of disputes.
Mr. Pumilia’s clients are typically
mid-sized businesses, with annual sales of between $2MM and $200MM,
with operations in Southern California. However, he does
represent several “start-up” entities with revenues currently below
this range.
Mr. Pumilia graduated magna cum
laude from Washington and Jefferson College, and graduated with
honors from Rutgers Law School, where he served as an editor of
The Rutgers Computer and Technology Law Journal. He is a
member of the Business Law Section of the State Bar of California,
and is the leader of the Pasadena group of ProVisors, an
organization of senior-level professionals providing services to
middle-market companies. Mr. Pumilia is also a member of the
Los Angeles chapter of the Association for Corporate Growth (ACG),
a global organization for professional involved in corporate growth,
corporate development and mergers and acquisitions.
